Shareholder sues business entity and board members for breach of duties

EDWARDSVILLE — A shareholder is suing ADR Inc. and its board of directors for allegedly participating in business dealings without the board's authorization. 

Ronald Eilers, individually and derivatively on behalf of ADR Inc., filed a complaint on Jan. 18 in the Madison County Circuit Court against Elmer Eilers, Thomas Eilers and ADR Inc., alleging they violated the Illinois Business Corporation Act.

According to the complaint, the plaintiff alleges the defendants conspired to engage in seal dealings to ADR's detriment and transferred a substantial amount of ADR's corporate funds to another account without the board's authorization. 

As a result, the plaintiff claims he suffered financial damages in excess of $50,000. 

Ronald Eilers seeks compensatory damages of more than $50,000, attorney's fees, costs and all further relief the court deems just and proper.
